1) Agreement to terms

These Terms of Service (the "Terms") form a binding agreement between you and Mind Power Investment Technology, LLC. By accessing or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

2) Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms. You represent and warrant that you meet these requirements.

3) Accounts and security

You may need an account to access certain features. You must provide accurate information and keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activities on your account. Notify us immediately of any unauthorized use.

4) License and acceptable use

We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your personal or internal business use, subject to these Terms. You agree not to:

• Copy, modify, distribute, sell, lease, or sublicense the Services or any content except as expressly permitted.
• Reverse engineer, decompile, or attempt to extract source code, except as allowed by law.
• Interfere with or disrupt the Services or circumvent security features.
• Use the Services for unlawful, infringing, misleading, or harmful purposes.
• Access the Services using automated means without our prior written consent, except for standard search engine indexing.

5) User content

If you submit or upload content, you grant Mind Power Invest a worldwide, royalty-free license to host, store, reproduce, modify, create derivative works, publicly display, and distribute your content as needed to operate and improve the Services. You represent that you have all rights necessary to grant this license and that your content does not infringe any third-party rights or violate law. We may remove content that violates these Terms.

6) Feedback

If you provide feedback, ideas, or suggestions, you grant us the right to use them without restriction or compensation.

7) Purchases, subscriptions, and billing

If the Services include paid features, you agree to pay all fees and taxes disclosed at checkout. Subscriptions renew automatically unless canceled as described at the point of sale. Prices and features may change. Except where required by law, payments are non-refundable.

8) Third-party services

The Services may rely on or link to third-party services. We are not responsible for third-party services and do not endorse them. Your use of third-party services is at your own risk and subject to their terms.

9) No investment, legal, tax, or financial advice

The content on the Services is for informational and educational purposes only. We are not a law firm, tax advisor, broker-dealer, or investment adviser. Nothing on the Services constitutes legal, tax, accounting, or investment advice, a solicitation, an offer, or a recommendation to buy or sell any security or financial product. Decisions based on information from the Services are your responsibility. Consult qualified professionals before making financial or legal decisions.

10) Compliance and eligibility statements

If the Services describe strategies or structures that may have tax or regulatory implications, any participation is subject to separate eligibility criteria, risk disclosures, and offering materials. Availability is not guaranteed and may be limited by law and jurisdiction. You are responsible for ensuring your compliance with applicable laws.

11) Intellectual property

All content, features, and functionality on the Services, including text, graphics, logos, icons, images, software, and designs, are owned by Mind Power Invest or our licensors and are protected by intellectual property laws. Except for the limited license in Section 4, no rights are granted to you.

12) Prohibited conduct

You agree not to misuse the Services. Prohibited conduct includes: violating laws, infringing intellectual property, transmitting malware, scraping without authorization, attempting to gain unauthorized access, or interfering with others' use of the Services.

13) Termination

We may suspend or terminate your access to the Services at any time for any reason, including if you violate these Terms. You may stop using the Services at any time. Sections that by their nature should survive will survive termination.

14) Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error free, or that information will be accurate or current.

15) Limitation of liability

To the maximum extent permitted by law, Mind Power Invest and its affiliates, officers, employees, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill, even if advised of the possibility of such damages. Our total liability for any claim arising out of or relating to the Services or these Terms will not exceed the greater of one hundred dollars ($100) or the amount you paid to us for the Services in the twelve months prior to the event giving rise to the claim.

16) Indemnification

You agree to indemnify and hold harmless Mind Power Invest and our affiliates, officers, employees, and agents from any claims, damages, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Services or your violation of these Terms.

17) Export and sanctions

You agree to comply with all export control and economic sanctions laws. You may not use the Services if you are located in an embargoed country or are on a government sanctions list.

18) Governing law and dispute resolution

These Terms are governed by the laws of the State of Florida, without regard to conflict of law rules. Any dispute will be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The seat of arbitration will be Miami-Dade County, Florida. Either party may seek relief in small claims court if eligible and may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property or confidential information. You and we waive the right to a jury trial and to participate in class actions. You may opt out of arbitration within 30 days of first accepting these Terms by emailing legal@mindpowerinvest.com with "Arbitration Opt Out" in the subject line and your full name and address in the body.

19) Changes to the Services and to these Terms

We may modify, suspend, or discontinue any part of the Services. We may update these Terms at any time. Material changes will be posted with an updated effective date. Continued use after changes means you accept the updated Terms.

20) DMCA policy

If you believe content infringes your copyright, send a notice that complies with 17 U.S.C. § 512 to our designated agent at dmca@mindpowerinvest.com. Your notice must include the information required by the DMCA. We may remove content and terminate repeat infringers as appropriate.
